1) Acceptance
By accessing or using Noelle, you agree to these Terms and to our Privacy Policy. If you use Noelle on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2) The service
Noelle is a scheduling and booking platform operated by Leitbyte LLC. Depending on the plan and features you enable, Noelle may let you:
- Create a workspace and publish a public booking page.
- Define services, durations, availability windows, scheduling preferences, and branding.
- Connect calendars, view scheduling information, prevent conflicts, and create, update, reschedule, or delete calendar events.
- Send or receive verification texts, confirmations, reminders, invitations, and rescheduling communications.
- Use assistant or automation features that interpret requests, suggest appointment options, draft messages, or execute approved scheduling actions.
We may improve, add, remove, or modify features at any time, including plan limits, interfaces, providers, and integrations.
3) Eligibility, accounts, and workspace responsibility
- You must be at least 18 years old and able to form a binding contract to use Noelle.
- You agree to provide accurate account information, including a phone number you control for verification and account security.
- You are responsible for activity under your account or workspace, including actions by team members or other people you permit to use it.
- You are responsible for protecting your devices, session access, and credentials used with Noelle.
4) Your content, data, and permissions
You retain your rights in information you provide to Noelle, such as service descriptions, availability settings, branding, contacts, invitee notes, calendar information, and message content.
You grant us a non-exclusive, worldwide license to host, process, reproduce, transmit, and otherwise use that information only as needed to operate, secure, support, and improve Noelle, provide the features you request, and comply with law.
You represent that you have the rights and permissions needed to provide any information you upload, sync, publish, or instruct Noelle to use, including names, phone numbers, email addresses, calendar data, logos, text, and other content.
5) Booking pages, client communications, and consent
If you use Noelle to publish a booking page, accept appointments, invite attendees, or message clients or invitees, you are responsible for the content and rules configured for that workspace.
- You must obtain any permissions or consents required by applicable law before using Noelle to send SMS, email, calendar invitations, or other communications to clients or invitees.
- You must honor opt-out or stop requests and may not use Noelle to send spam, unlawful advertising, harassment, deceptive messages, or prohibited content.
- You are responsible for the accuracy of service descriptions, availability, event details, confirmation language, and instructions sent through the Service on your behalf.
We may block, delay, filter, suspend, or terminate messaging or account access if we believe there is abuse, missing consent, unusual risk, non-payment, or a legal, carrier, or provider-compliance issue.
6) Automation and AI-assisted features
Some Noelle features use automation or third-party AI/model providers to analyze scheduling conversations, workspace settings, contact context, availability, and relevant connected-calendar information; identify intended scheduling actions; suggest appointment options; draft messages; or execute scheduling-related actions based on your request or configured approval rules.
Google Calendar data supplied to AI/model providers is handled as described in the Google Calendar section of the Privacy Policy. Noelle does not use raw or derived Google Workspace data to train generalized AI or machine-learning models.
You remain responsible. AI or automated output can be incomplete, delayed, or wrong. You are responsible for selecting appropriate settings, reviewing important outputs when appropriate, and verifying dates, times, identities, availability, participants, and instructions before relying on them.
No professional or emergency use. Noelle is not legal, medical, financial, or emergency advice and is not an emergency-response service.
7) Google Calendar authorization and connected services
When you connect Google Calendar, you authorize Noelle to access and act on Google Calendar data within the permissions you grant on Google's OAuth consent screen. Noelle's current Google integration uses the connected user's primary calendar and requests permission to view availability and to view, create, change, and delete events on calendars the user owns.
- Noelle may list events, evaluate busy intervals, create appointments, update or reschedule events, add attendees, and delete events when you request those actions or enable scheduling rules that authorize them.
- Noelle does not currently manage whole-calendar sharing permissions, calendar access-control lists, Gmail, Drive, Contacts, or Google profile data through this integration.
- You are responsible for ensuring that you have authority to connect the account and to provide or use attendee and client information included in calendar events.
- You may disconnect Google Calendar through Noelle where available or revoke Noelle's authorization through your Google Account. Disconnecting Noelle does not automatically delete events already written to Google Calendar.
Noelle's handling of Google user data is governed by the Privacy Policy and is intended to comply with the Google API Services User Data Policy, including its Limited Use requirements.
8) Other integrations and third-party services
Noelle may interoperate with calendar providers, payment processors, SMS platforms, carriers, email providers, app stores, AI providers, and other third-party services. Your use of those services may be governed by their own terms and privacy policies.
We are not responsible for third-party outages, billing practices, security incidents, policy changes, API limitations, or actions outside our reasonable control.
9) Plans, fees, billing, renewals, and cancellation
- Plans. Noelle may offer Free, Basic, Pro, trial, promotional, or other plan options. Current details and pricing are shown in-product or at checkout.
- Recurring billing. If you start a paid plan, you authorize us and our payment processor to charge the payment method you provide for recurring fees, taxes, and other amounts disclosed at checkout until you cancel.
- Renewal. Paid subscriptions renew automatically at the end of each billing cycle unless canceled before renewal.
- Cancellation. You may cancel a web subscription from workspace billing settings, through a billing portal we provide, or by contacting support@getnoelle.com. Cancellation stops future renewals. Unless required by law or stated otherwise, fees already paid are not refundable, and access may continue through the current paid period.
- Upgrades and downgrades. Timing, credits, charges, or access changes will be described when you change plans.
- Price changes. We may change pricing or plan features prospectively after notice as required by law.
- Failed payments. If a charge is declined or unpaid, we may retry payment, suspend paid features, downgrade the workspace, or terminate the subscription.
- App-store billing. Store billing and cancellation terms also apply to purchases made through an app store.
- Account deletion. We attempt to cancel subscriptions that we can cancel directly. You remain responsible for canceling an app-store subscription or any subscription we cannot cancel on your behalf.
10) Availability, deliverability, and service changes
Noelle depends on third-party infrastructure and integrations. We do not guarantee uninterrupted availability, particular booking volume, perfect calendar synchronization, successful delivery of every message or invitation, or error-free AI output. Provider outages, API limits, carrier filtering, and network conditions can affect performance.
11) Prohibited use
You may not use Noelle to:
- Violate law, third-party rights, provider terms, or applicable Google API policies.
- Send messages or invitations without required consent or after a valid opt-out.
- Send spam, malware, phishing, harassment, abuse, or deceptive content.
- Use Google user data for advertising, data brokerage, lending or credit decisions, surveillance, or generalized AI/model training.
- Scrape, probe, reverse engineer, or attempt to bypass security, authorization, or usage limits.
- Interfere with the Service, other users, carriers, or integrated providers.
12) Suspension and termination
You may stop using Noelle at any time. We may suspend or terminate access immediately if we reasonably believe there is a security issue, suspected fraud, legal or provider-compliance issue, repeated violation of these Terms, abuse of an integration, or non-payment.
After termination, we may retain information as described in the Privacy Policy and as needed for billing, compliance, backups, dispute resolution, and security.
13) Intellectual property
Noelle, the software, designs, text, graphics, trademarks, and other content we provide are owned by Leitbyte LLC or its licensors and protected by applicable law. Except for the limited right to use the Service under these Terms, no rights are granted to you.
14) Disclaimers
To the maximum extent permitted by law, Noelle is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will always be available, secure, accurate, or error-free.
15) Limitation of liability
To the maximum extent permitted by law, Leitbyte LLC and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the Service.
To the maximum extent permitted by law, our aggregate liability arising from or relating to the Service will not exceed the greater of the amount you paid to Noelle during the twelve months before the event giving rise to the claim or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.
16) Indemnification
You agree to defend, indemnify, and hold harmless Leitbyte LLC and its officers, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your content, your use of Noelle, your violation of these Terms, or your communications with clients or invitees, including claims that you sent messages or invitations without required consent.
17) Governing law
These Terms are governed by the laws of Wyoming, without regard to conflict-of-law rules, unless applicable law requires otherwise.
18) Changes to these Terms
We may update these Terms from time to time. We will post the revised version and update the “Last updated” date. Material changes will apply prospectively after any notice required by law.
