These Terms of Service ("Terms") govern your access to and use of Noelle (the "Service"), operated by Leitbyte LLC ("Leitbyte", "we", "us"). By accessing or using the Service, you agree to these Terms.

1) The Service

Noelle is an AI-powered assistant designed to help with scheduling, coordination, and related conversational workflows via SMS and/or an app interface. The Service may send and receive messages, including confirmations and reminders, depending on features you enable.

2) AI and Third-Party Processing (OpenAI)

The Service uses third-party AI models and APIs (including OpenAI) to process messages and generate responses. This may require transmitting message content and relevant context to those providers as part of providing the Service. AI output may be inaccurate or incomplete. You are responsible for verifying details (times, dates, locations, identities, and instructions) before relying on them.

Noelle is not a substitute for professional advice (legal, medical, financial, or otherwise), and is not intended for emergency use. If this is an emergency, contact local emergency services.

3) Accounts, Eligibility, and Security

You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your login methods and device access.
You agree to provide accurate information, including a valid mobile number you control.

4) Contacts and Data You Provide

You may upload or sync contacts and related context (names, phone numbers, notes) to help Noelle function as a secretary. You represent that you have the right to provide this information and to use it for the purposes of scheduling and coordination.

5) Messaging Others (Your Clients / Third Parties)

You may be able to ask Noelle to message other people (for example, your clients) for scheduling and coordination. When you do, you represent and warrant that:

You have obtained all necessary permissions and consents to contact each recipient via SMS for the intended purpose.
Your messages comply with applicable laws and regulations (including messaging and consumer protection laws).
You will not use the Service to send spam, unsolicited advertising, or prohibited content.

We may block, suspend, or terminate access to the Service if we believe messages are being sent without proper consent or in violation of these Terms.

6) Mobile Terms of Service (SMS Program Terms)

Program name: Noelle (operated by Leitbyte LLC)

Program description: Noelle provides SMS-based scheduling and coordination assistance, including conversational scheduling, confirmations, reminders, and rescheduling. Messages may be sent either by Noelle or by the account owner acting through the Noelle interface.
Opt-out: You can cancel SMS messaging at any time by texting STOP to the phone number that messaged you. After you send STOP, you will receive a confirmation message and will no longer receive SMS messages from us unless you opt back in (for example, by texting and asking a question of the service).
Help: For help, reply HELP, or contact us at support@getnoelle.com (or support@leitbyte.com).
Carrier liability: Carriers are not liable for delayed or undelivered messages.
Rates and frequency: Message and data rates may apply. Message frequency varies depending on usage and features you enable (e.g., scheduling conversations and reminders).

7) Prohibited Uses

You agree not to use the Service to:

Send messages without appropriate consent.
Send unlawful, deceptive, or abusive messages, or content prohibited by carriers or messaging providers.
Attempt to reverse engineer the Service or bypass opt-out mechanisms.
Transmit malware, spam, or content intended to evade filtering.

8) Fees and Subscriptions

Some features may require a paid subscription. If you purchase via an app store, your purchase is processed by that store and subject to its terms. We may change pricing or plans with notice where required.

9) Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required for compliance reasons, or to protect the Service and its users.

10) Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, and we do not guarantee message delivery (carrier filtering and outages can occur).

11) Limitation of Liability

To the maximum extent permitted by law, Leitbyte LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

12) Indemnification

You agree to defend, indemnify, and hold harmless Leitbyte LLC from claims arising out of your use of the Service, including claims related to messaging recipients without proper consent, or content you instruct the Service to send.

13) Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date.

14) Governing Law

These Terms are governed by the laws of Wyoming, without regard to conflict of law principles.
